Footnotes Hold More AI Debt Than the Books

  • Oracle: ~$260 billion in future lease commitments; off-balance-sheet liabilities grew roughly thirtyfold in four years. S&P cut Oracle to BBB- on July 9 — one notch above junk — projecting a $42 billion free cash flow deficit in fiscal 2027.

Why it matters now:

  • Four of the five report earnings in the next two weeks. Headline debt ratios will look manageable.
  • The Nikkei figure won't be on the slide.
  • AI hardware depreciates in 18–36 months. Lease and bond durations run 5–20 years.
  • When a data center goes live, its lease can roll onto the balance sheet at once — and lenders, not equity holders, absorb the markdown if demand falls short.

  • Analyst Gil Luria told Bloomberg Law, via The Next Web: "Enron's crime wasn't having special purpose vehicles. Enron's crime was hiding them."
  • Accounting consultant Tom Selling asked The Next Web: "What if one of these companies was a house of cards, and was propping itself up with this accounting treatment?"
  • S&P already cut Oracle. Moody's carries a negative outlook. Morgan Stanley has flagged the wider off-balance-sheet gap.

The scale of the bet:

  • The industry may spend more than $3 trillion through 2028 building and equipping AI data centers.
  • Much of it is financed against chips that may be obsolete before the leases expire.

Convina's view: Wall Street is cheering AI capex on the income statement while the leverage sits in structures most models never touch. The Nikkei study names the number earnings season will not: $1.65 trillion in obligations that behave like debt even when they aren't labeled debt. Meta's Hyperion deal is the template — $27 billion in bonds, 80% owned by a fund, 100% of the compute for Meta, zero of the debt on the balance sheet. That is legal, disclosed, and exactly why credit models built on reported leverage are flying blind. If inference demand disappoints, the footnotes become the balance sheet overnight — and the lenders who financed the racks will own the write-down.
